These Terms of Use (“Terms”) govern your access to and use of the website located at overaa.com and any related online or mobile services operated by C. Overaa & Co. (“Overaa,” “Overaa Construction,” “we,” “us,” or “our”) (together, the “Site”). Please read these Terms carefully. By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, please do not access or use the Site.

1. About the Site

The Site is provided for general informational purposes to share information about our company, our projects, and our services, and to allow visitors to contact us or apply for open positions. The Site is not intended to provide, and does not constitute, professional, engineering, or construction advice, and nothing on the Site is an offer, bid, proposal, or commitment to provide services or enter into any contract. Descriptions of past or current projects are provided for illustration only and do not constitute a warranty, representation, or guarantee of results.

You may view and print pages from the Site for your own internal, non-commercial reference, provided you do not remove any copyright or proprietary notices.

7. Submissions through the Site

If you submit information through the Site, for example, through a contact form or job application, you are responsible for the accuracy of what you provide, and you represent that you have the right to submit it. Except for personal information, which we handle in accordance with our Privacy Policy, we do not want to receive confidential or proprietary information through the Site, and any non-personal material you submit will be treated as non-confidential. Any reliance you place on the Content is at your own risk.

12. Limitation of liability

To the fullest extent permitted by law, in no event will Overaa or its owners, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or relating to your access to or use of (or inability to access or use) the Site, whether based in contract, tort, negligence, strict liability, or any other legal theory, even if advised of the possibility of such damages. To the extent any liability cannot be excluded, Overaa’s total aggregate liability arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to indemnify, defend, and hold harmless Overaa and its owners, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.

14. Governing law and venue

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You agree that any dispute not otherwise resolved will be brought exclusively in the state or federal courts located in Contra Costa County, California, and you consent to the personal jurisdiction of those courts, except where prohibited by applicable law.

15. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will survive.

16. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and Overaa regarding your use of the Site and supersede any prior agreements on that subject. If any provision is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of it.
